Membership Agreement and Terms of Use

1. Parties

This agreement is concluded electronically between Design for Good LLC, a company established in the United States ("Company"), and the legal entity or merchant applying for membership on smesatcop31.com ("Platform") ("Member"), together with the authorised user acting on the Member's behalf.

2. Purpose

The Platform gives visibility to the COP31-related activities of SMEs, chambers of commerce, commodity exchanges and NGOs, shares information about COP31 and offers optional paid services.

The Platform is not the official COP31 website. It does not act on behalf of, and is not endorsed by, the COP31 Presidency, the UNFCCC secretariat or any public authority.

3. Membership

3.1. Membership is free and open to businesses, chambers, exchanges and NGOs operating in Türkiye that provide accurate information.

3.2. The Member confirms that the information provided, including legal name, tax ID and corporate email, is accurate and that it is authorised to apply on behalf of the organisation.

3.3. Profiles, activities and certifications go live after review by the Company. The Company may reject an application or remove content without stating reasons.

3.4. The Member is responsible for account security.

4. Member obligations

The Member is solely responsible for the accuracy of all content it publishes and for holding the rights to publish it; will not make false, misleading or exaggerated environmental claims ("greenwashing"); confirms it has obtained the explicit consent required under Turkish data protection law (KVKK) from any contact person whose details it publishes; will not use official COP31 logos or brand assets without permission; and will not use the Platform unlawfully.

5. Content licence

The Member grants the Company a free, worldwide, non-exclusive licence to display uploaded content on the Platform and in its promotion, for the duration of membership and for archival purposes relating to COP31.

6. Paid services

Paid services are governed by the separate Paid Services Agreement. Tax obligations arising from paid services rest with the Member.

7. Limitation of liability

COP31 information on the Platform is summarised from official sources; cop31.tr is authoritative. The Company does not warrant the accuracy of Member content; review does not mean verification. Except for intent and gross negligence, the Company's liability is limited to the fees paid by the Member in the preceding 12 months.

8. Termination

The Member may terminate at any time. The Company may suspend or terminate membership for breach. Personal data is then deleted or anonymised as set out in the Privacy Notice.

9. Changes

Material changes are notified by email or in the panel. Continued use constitutes acceptance.

10. Governing law

[LEGAL REVIEW REQUIRED] Turkish law applies; the courts of Istanbul (Central) have jurisdiction.
